Elon Musk paid $44 billion for Twitter and immediately took it off the stock market. I explain what “taking a company private” actually means. A take-private is when a buyer purchases every share of a public company and removes it from the exchange. To make existing shareholders sell, the buyer has to offer a premium over the current stock price. Twitter’s deal: $54.20 per share, a 38% premium to the prior trading day. Financed with $21B in equity (Musk + co-investors) and $25.5B in debt. Once the deal closed in October 2022, Twitter was delisted from the NYSE, all shareholders got cashed out, and the company stopped filing quarterly earnings reports. A PE firm can take their original investment back out of a company without ever selling it, this is called a dividend recap. Step 1: Buy the company. Step 2: A few years later, have the company take on new debt. Step 3: Pay that borrowed cash directly to yourself as a dividend. It’s basically a cash-out refinance, but on a company instead of a house. Toys “R” Us is the most cited example. PE firms extracted $400M+ through dividend recaps between 2005 and 2018. The debt piled up, e-commerce hit, and the company couldn’t keep up which led to bankruptcy in 2017. When the company grows into the debt, it’s one of the highest-return PE moves possible. When it doesn’t, the company absorbs the loss, not the PE firm. #PrivateEquityDecoded #PrivateEquity #DividendRecap #FinanceExplained #LBO

They take 2% per year + 20% of the profits. CalPERS alone has about $111B sitting in private equity right now.
